Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Waypath platform, website at waypath.app, and related API services (collectively, the "Service") operated by Waypath ("we," "our," or "us"). By accessing or using the Service, you agree to be bound by these Terms.

We provide REST and WebSocket APIs for programmatic access to the Service. API access is governed by these Terms and any additional API-specific documentation we publish.

API usage is subject to rate limits, which vary by plan. Current rate limits are documented in our API reference. We reserve the right to throttle or suspend access if usage significantly exceeds normal operating patterns or threatens the stability of the Service.

You retain all rights, title, and interest in the data you upload, import, or create within the Service ("Your Data"). We do not claim ownership over Your Data. You grant us a limited license to host, process, and display Your Data solely for the purpose of providing and improving the Service.

You may export Your Data at any time through our API endpoints. Upon account termination, we will make Your Data available for export for a period of 30 days, after which it will be deleted.

4.3 Aggregated Data

We may collect and use aggregated, anonymized data derived from your use of the Service for analytics, benchmarking, and product improvement. This data will not identify you or your customers.

The Service, including its design, code, features, documentation, and branding, is owned by Waypath and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or brand features without prior written consent.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WAYPATH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO WAYPATH IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

You agree to indemnify, defend, and hold harmless Waypath and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

You may terminate your account at any time by contacting support@waypath.app. Upon termination, your right to access the Service will cease immediately.

11.3 Effect of Termination

Upon termination, your data will be available for export for 30 days, after which it will be permanently deleted. Sections 4, 8, 9, 10, and 13 survive termination.

12. Dispute Resolution

Before filing a formal claim, you agree to attempt to resolve disputes informally by contacting support@waypath.app. If the dispute is not resolved within 30 days, either party may pursue formal resolution.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action arising from these Terms shall be brought exclusively in the state or federal courts located in Delaware.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and, for significant changes, by email. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.
