01Agreement
These Terms govern your use of services provided by Waypath, Inc., a Delaware C-corporation registered in New York. By creating an account, you accept these Terms on behalf of yourself and (if applicable) your organization.
02Your account
- You must be 18+ and have authority to bind your organization.
- Keep your credentials secret. You're responsible for actions taken from your account.
- One workspace per legal entity. Multi-workspace setups require explicit signoff for cross-workspace data access.
03Acceptable use
You may use Waypath for any lawful business purpose. You may not:
- Send to recipients who have not opted in to your communications (we ship CAN-SPAM + GDPR-compliant tools; you're responsible for the list)
- Use Waypath to target people based on protected characteristics
- Reverse-engineer the agents, scrape signals, or resell the output as a competing product
- Exceed published rate limits without prior written approval
04Your data
Your data stays yours. You grant Waypath a limited license to process it only to provide the service. We do not train on customer data without opt-in. See Privacy Policy for full handling details.
You can export every record we hold via GET /v1/exports. Deletion within 30 days of request.
05Agent actions
Important: agents fire moves on your behalf. You set the thresholds. You are responsible for the content of those moves and the lists they reach. We will not be liable for the consequences of a move you configured.
Default thresholds ship deliberately cautious. For destructive moves (cancel-intent rescue, billing-failed retry) we cap auto-fire at confidence 90 regardless of your config.

07Fees
Pricing is published at waypath.app/pricing. We give 30 days' notice before any price change. No auto-overage charges — if you exceed your quota we email you at 80% and pause overflow until you upgrade.
08Intellectual property
Waypath retains all IP in the software, the agents, and the models. You retain IP in your data, your playbooks, and artifacts the agents draft on your behalf. Public components are released under MIT — see GitHub.
09Termination
Either party may terminate for any reason with 30 days' notice. On termination:
- You can export all data within 30 days
- We delete all data within 60 days (some logs retained for security · audit)
- Pre-paid fees are pro-rated and refunded
10Warranties & Disclaimers
We warrant the service will be provided with reasonable skill and care. Everything else is provided "AS IS" — no guarantee of fitness for any particular purpose, no warranty that agents will hit any specific revenue target.
11Limitation of liability
To the extent permitted by law, our total liability under these Terms in any 12-month period is capped at the fees you paid in that period. We are not liable for indirect, consequential, or punitive damages (including lost revenue or profits).
12Disputes
Governing law: State of New York, USA. Disputes resolved by binding arbitration in New York under JAMS rules. Class actions waived. The losing party pays reasonable attorney fees.
