Terms of Service

Effective date: March 27, 2026

These Terms of Service ("Terms") govern your access to and use of the Waypath platform, website at waypath.app, and related API services (collectively, the "Service") operated by Waypath ("we," "our," or "us"). By accessing or using the Service, you agree to be bound by these Terms.

1. Account Terms

• You must be at least 16 years of age to use the Service.
• You must provide accurate and complete registration information, including a valid email address.
• You are responsible for maintaining the security of your account credentials, including your password, JWT tokens, and API keys.
• You are responsible for all activity that occurs under your account.
• One person or legal entity may maintain no more than one free account.
• You must promptly notify us at support@waypath.app if you become aware of any unauthorized use of your account.

2. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Transmit malicious code, viruses, or any destructive content
• Attempt to gain unauthorized access to the Service, other accounts, or connected systems
• Scrape, crawl, or use automated means to access the Service beyond authorized API usage
• Interfere with or disrupt the integrity or performance of the Service
• Reverse-engineer, decompile, or disassemble any part of the Service
• Use the Service to send unsolicited communications (spam)
• Store or process data subject to specific regulatory requirements (e.g., HIPAA-protected health information, payment card data subject to PCI-DSS) without a separate written agreement
• Resell, sublicense, or redistribute the Service without written authorization

3. API Usage

3.1 API Access

We provide REST and WebSocket APIs for programmatic access to the Service. API access is governed by these Terms and any additional API-specific documentation we publish.

3.2 API Keys

• API keys (prefixed with dsk_) are confidential credentials. Treat them as you would a password.
• Do not embed API keys in client-side code, public repositories, or shared environments.
• You may revoke API keys at any time through the settings interface.
• We reserve the right to revoke API keys that are compromised or used in violation of these Terms.

3.3 Rate Limits

API usage is subject to rate limits, which vary by plan. Current rate limits are documented in our API reference. We reserve the right to throttle or suspend access if usage significantly exceeds normal operating patterns or threatens the stability of the Service.

4. Data Ownership

4.1 Your Data

You retain all rights, title, and interest in the data you upload, import, or create within the Service ("Your Data"). We do not claim ownership over Your Data. You grant us a limited license to host, process, and display Your Data solely for the purpose of providing and improving the Service.

4.2 Data Portability

You may export Your Data at any time through our API endpoints. Upon account termination, we will make Your Data available for export for a period of 30 days, after which it will be deleted.

4.3 Aggregated Data

We may collect and use aggregated, anonymized data derived from your use of the Service for analytics, benchmarking, and product improvement. This data will not identify you or your customers.

5. Third-Party Integrations

The Service allows you to connect third-party platforms (e.g., HubSpot, Salesforce, Stripe, Customer.io) via OAuth or API key authentication. When you enable an integration:

• You authorize us to access and process data from those platforms on your behalf
• You represent that you have the authority to grant this access
• Third-party platforms are governed by their own terms and privacy policies
• We are not responsible for the availability, accuracy, or conduct of third-party services

6. Service Availability

• We strive to maintain high availability but do not guarantee uninterrupted access to the Service.
• We may perform scheduled maintenance with reasonable advance notice.
• We may modify, suspend, or discontinue any part of the Service at any time. For material changes, we will provide at least 30 days' notice.
• Specific uptime commitments, if any, are defined in your service plan or a separate service level agreement (SLA).

7. Payment and Billing

If you subscribe to a paid plan:

• Fees are billed in advance on a monthly or annual basis as selected at the time of purchase.
• All fees are non-refundable except as expressly stated in these Terms or required by law.
• We may change pricing with at least 30 days' notice. Price changes take effect at the start of your next billing cycle.
• Failure to pay may result in suspension or termination of your account.

8. Intellectual Property

The Service, including its design, code, features, documentation, and branding, is owned by Waypath and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or brand features without prior written consent.

9. Limitation of Liability

10. Indemnification

You agree to indemnify, defend, and hold harmless Waypath and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Termination

11.1 By You

You may terminate your account at any time by contacting support@waypath.app. Upon termination, your right to access the Service will cease immediately.

11.2 By Us

We may suspend or terminate your account if:

• You breach any provision of these Terms
• Your use of the Service poses a security risk to the Service or other users
• Your account has been inactive for an extended period (12 months or more)
• Required by law or regulation

We will provide reasonable notice before termination, except where immediate action is required to protect the Service or comply with legal obligations.

11.3 Effect of Termination

Upon termination, your data will be available for export for 30 days, after which it will be permanently deleted. Sections 4, 8, 9, 10, and 13 survive termination.

12. Dispute Resolution

Before filing a formal claim, you agree to attempt to resolve disputes informally by contacting support@waypath.app. If the dispute is not resolved within 30 days, either party may pursue formal resolution.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action arising from these Terms shall be brought exclusively in the state or federal courts located in Delaware.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and, for significant changes, by email. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.

15. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy and any applicable plan terms, constitute the entire agreement between you and Waypath.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in effect.
• Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
• Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights without restriction.
